General Conditions

Only the general conditions listed below govern the agreements between both parties. By registering and agreeing to a training proposal, you commit to having read, accepted and complying with these general conditions.
1. Identity
NovaNext BV (BE1039212369) is represented by its founders/directors Elisa Beellaert and Bart Wauters.
2. Payment
- The client commits to paying the invoice no later than the start date of the training, automatically and without notice of default. All prices are exclusive of VAT, unless otherwise stated.
- Invoices are payable within 30 calendar days of the invoice date, unless otherwise agreed.
- Private participants must pay immediately upon registration.
- For pre-agreed payment terms that deviate from the above term, the following supplements apply:
- between 30-60 days: 3%
- between 60-90 days: 6%
- beyond 90 days: 9%
- For Belgian companies, invoices are sent via Peppol.
- If the participant follows the training on behalf of a third party (company, partnership or employer), they must have this assignment endorsed and signed by said third party. The latter can be held jointly liable for unpaid invoices. In the absence thereof, the participant is required to pay for the training themselves.
- An additional administrative cost of €25 will be charged when sending a registered reminder.
- If an invoice remains unpaid despite warnings, the outstanding debt will be collected automatically. From the due date, a late payment interest of 12% as well as a fixed compensation of 10% of the invoice amount, with a minimum of €100 per invoice, will be charged.
- NovaNext BV reserves the right to temporarily suspend further services until all outstanding invoices have been settled.
- Subsidies or other allowances must be applied for on the client's own initiative.
- For extra client administration such as modifying or splitting an invoice, using a specific invoicing portal or software of the client, or preparing a VOV file, an administrative fee of €50 per invoice will be charged.
3. Cancellation and Rescheduling
- Cancellation of a registration must always be done in writing or by email.
- Cancellation of a registration is only free of charge up to 22 calendar days before the start of the course.
- If cancellation occurs between the 21st and 15th calendar day before the start, 50% of the course fee remains due.
- If cancellation occurs between the 14th and 8th calendar day before the start, 75% of the course fee remains due.
- If cancellation occurs within the last 7 calendar days before the start, the full registration fee remains due.
- If the participant does not show up at the start of the course or drops out during the training for any reason, the registration fee for the days not attended cannot be reclaimed under any circumstances.
- A one-time rescheduling up to 15 calendar days before the start date is free of charge. Within 14 calendar days, 25% remains due. Within the last 7 calendar days, 50% remains due.
- Rescheduling must take place within four months of the originally planned start date.
- The client may change one or more participants up to the start date of the training, provided the agreed number of participants is not exceeded.
4. Organization
All trainings are given in one language unless otherwise stated. Participants are expected to be sufficiently proficient in that language to follow the lessons and understand the content so that a test can be successfully completed without language assistance.
NovaNext BV reserves the right to adjust the content or organization of the service when circumstances require it. The client and participants cannot claim compensation for this.
After completing a training, a training certificate is issued. This depends on the type of training followed. The instructor determines after an objective assessment whether and which training certificate can be issued.
NovaNext BV reserves the right not to issue a training certificate in case of an outstanding invoice.
The participant acknowledges that NovaNext BV, except in cases of civil liability, is not responsible for damage caused by accidents before, during, or after the service.
Each participant must comply with the general and safety rules applicable before and during the training.
NovaNext BV reserves the right to refuse or remove persons from a training in case of safety concerns, communication problems, insufficient training hours, or nuisance, without the payment obligation lapsing.
To participate in a training, participants must be medically fit. Verification of this medical fitness is the responsibility of the client.
To participate in an exam or test, the participant must meet the requirements as stated in the examination regulations.
When the training takes place at the client's location, the client ensures it can be carried out in complete safety with validly inspected and sufficiently available and working equipment as well as a sufficiently demarcated practice area. Otherwise, it may be decided to suspend the training or to let it proceed only partially.
The timely provision of all necessary and practical information regarding location, participants and general organization via the client portal is a responsibility of the client.
During tests, NovaNext BV only assesses competencies without guaranteeing success. The client accepts the independent assessment of the trainer.
NovaNext BV retains the exclusive intellectual property rights to all presentations and teaching materials. The client undertakes not to reproduce, translate, adapt or distribute the content, in whole or in part, in any way whatsoever, without the prior written consent of NovaNext BV.
Requests for organizing additional trainings can only be made through the directors or the planning department of NovaNext BV.
5. Quotation / Offer
- The prices stated in the quotation do not automatically apply to future assignments.
- Prices listed on our website are indicative and non-binding. NovaNext BV reserves the right to change prices.
- The quotation always states a maximum number of participants. Additional participants may be refused or will be charged.
- If the training proposal contains an obvious error, it cannot be executed by NovaNext BV.
- Normal service takes place on weekdays between 7:00 AM and 6:00 PM. Outside these hours, a surcharge applies to the invoice amount:
- During weekdays: starting before 7:00 AM and ending no later than 8:00 PM: +50%
- Night hours: between 8:00 PM and 6:00 AM: +100%
- Saturday: +50%
- Sunday and public holidays: +100%
- The quotation always concerns standard training proposals, unless otherwise stated or agreed in writing in advance. If the services provided do not meet the specific needs of the client, NovaNext BV cannot be held responsible.
- Extension of an assignment is possible at an additional cost and only after written confirmation from the client.
6. Liability
- Shortcomings by NovaNext BV in the performance of the agreement cannot be attributed to it if they are not due to its fault, and do not give the client the right to dissolve the agreement or to claim compensation.
- NovaNext BV is not liable for damage, whether material or physical, caused before, during or after the service, except in the case of intent or gross fault on the part of NovaNext BV. If liability is established, it is in all cases limited to the amount paid out by NovaNext BV's insurance. If no coverage is granted, liability is limited to the invoice amount excluding VAT. The client indemnifies NovaNext BV against claims from third parties engaged by the client.
- Any damage — voluntary or involuntary — caused by participants to machines or materials of NovaNext BV will be invoiced to the client.
- In the event of force majeure, including but not limited to traffic jams, strikes, traffic accidents, illness or unavailability of the trainer, any shortcomings of NovaNext BV cannot be attributed to it.
- Such circumstances likewise do not give the client the right to dissolve the agreement or to claim any compensation.
- NovaNext BV can under no circumstances be held liable for indirect damage, consequential damage and/or business damage, including loss of profit, loss of revenue and non-material damage. The client indemnifies NovaNext BV against all claims by third parties for compensation of damage and/or costs, regardless of the basis thereof.
- Complaints must be submitted in writing by registered letter within eight days of the execution date if it concerns an execution, or after the invoice date if it concerns an invoice. In the absence of a timely written complaint, the performance or invoice is deemed to have been accepted. Objection to an invoice cannot be inferred from a technical status in the accounting software.
7. Final Provisions
- If one or more provisions in these general conditions are wholly or partially annulled, the remainder shall remain fully applicable.
- If NovaNext BV does not always require strict compliance with these conditions, this does not mean that the provisions do not apply.
- All disputes regarding the concluded agreement are governed by Belgian law, and only the courts of the judicial district of Ghent are competent.
